1. Agreement to Terms

These Terms & Conditions govern access to digitalniche.us and services provided by Digital Niche Agency ("DNA," "we," "us," or "our"). By using the website or purchasing or accepting services, you agree to these terms and any written service agreement that applies to your engagement.

2. Services

DNA provides marketing services for MedSpas and aesthetic practices. Services may include paid advertising campaign management, creative development, landing pages, lead capture, appointment setting, deposit collection support, reminders, CRM configuration, reporting, and marketing strategy. The precise scope is defined in your proposal or service agreement.

3. Pay-Per-Show Model

Under the standard pay-per-show model, DNA charges $100 per confirmed patient show, unless a different rate is stated in writing. A "show" means a booked prospective patient who physically attends the scheduled appointment at the client's location. A lead, scheduled appointment, cancellation, or no-show is not billed as a confirmed show.

Show records are verified against the client's calendar and booking records. Clients agree to maintain accurate appointment statuses and notify DNA promptly of genuine discrepancies.

4. Advertising Budget

Advertising spend is separate from DNA's per-show fee and is paid directly by the client to the advertising platform. Unless otherwise agreed in writing, pay-per-show requires a minimum advertising budget of $100 per day. The client controls and is responsible for platform charges.

5. Billing and Payment

The standard pay-per-show offer includes a one-time $500 setup fee and a $1000 activation payment credited dollar-for-dollar against the first 10 confirmed shows. After the activation credit is applied, confirmed shows are generally billed weekly at $100 per show. Advertising spend is paid directly to Meta, with a $100/day ($3,000/month) minimum for pay-per-show. Invoices and payments may be processed through Stripe or another disclosed processor. Fees already earned for confirmed shows are non-refundable except where required by law or corrected as a verified billing error.

6. Cancellation

Services are month-to-month and may be canceled with 14 days' written notice sent to info@digitalniche.us. There are no cancellation penalties. Shows booked before the notice date that later attend remain billable, and clients remain responsible for third-party advertising charges incurred before campaigns are fully paused. Platform processing times may delay final campaign shutdown.

7. Client Responsibilities

• Provide accurate business, licensing, treatment, pricing, and availability information
• Maintain current calendars and accurately record appointment attendance
• Provide lawful, substantiated marketing assets and treatment claims
• Deliver services professionally and comply with healthcare, advertising, privacy, and consumer-protection laws
• Maintain valid payment methods and advertising-platform accounts
• Avoid false, misleading, discriminatory, or prohibited practices

8. Results and No Earnings Promise

Case studies and performance examples describe actual reported outcomes from specific clients but are not typical and do not guarantee future results. Outcomes vary based on market, treatment demand, pricing, sales process, availability, staffing, advertising budget, platform conditions, and other factors. Calculator outputs and projections are illustrative only.

9. Territory Availability

DNA may limit active partnerships within a market to avoid directly competing campaigns. Territory definitions, availability, reservation periods, and exclusivity are determined by the written service agreement. Website availability messaging does not itself create or reserve an exclusive territory.

10. Intellectual Property

Unless otherwise agreed in writing, DNA retains ownership of its systems, templates, processes, and pre-existing intellectual property. Client-owned trademarks, photos, data, and materials remain the client's property. Usage rights for campaign-specific materials are governed by the applicable service agreement.

11. Third-Party Platforms

Services may depend on Meta, Google, Stripe, CRM, scheduling, communications, hosting, and other third-party platforms. DNA does not control platform policies, approvals, outages, account restrictions, pricing, or feature changes and is not responsible for losses caused solely by third-party systems.

12. Limitation of Liability

To the maximum extent permitted by law, DNA is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, lost profits, lost data, or business interruption arising from use of the website or services. Any aggregate liability will not exceed the amount paid to DNA during the three months preceding the event giving rise to the claim.

13. Changes to These Terms

We may update these Terms & Conditions. Revised terms become effective when posted unless a different effective date is stated. Material changes affecting active clients may also be communicated directly.

14. Communications Consent

SMS consent is optional unless a specific service requires text delivery and is not a condition of purchase. When consent is provided, DNA may retain the wording version, consent timestamp, source URL, and request identifier associated with the form. Mobile information and SMS opt-in data are not shared with third parties or affiliates for their own marketing or promotional purposes. Reply STOP to opt out or HELP for help.
